Florida LLC Filing Details

When you form an LLC in Florida, Bizee (formerly Incfile) files your Articles of Organization with the Florida Division of Corporations (Sunbiz) on your behalf.

The state filing fee is $125 ($100 filing fee + $25 registered agent designation fee).

Florida does not require an annual franchise tax, but you must file an Annual Report each year to keep your LLC active and in good standing.

The Annual Report filing fee is $138.75, and it’s due between January 1 and May 1 each year. If the report is filed late, the state imposes a $400 penalty, and failure to file by the third Friday of September may lead to administrative dissolution.
